General conditions and terms of delivery

‘meereffect’ is an activity and registered trademark of Meereffect B.V.

1. Cancellation and Modification

Meereffect B.V. reserves the right to cancel an open training if there are too few registrations or in case of force majeure(1). Participants who have already registered will have the option to attend the training on another date or receive a full refund of the invoice amount.
Under special circumstances, Meereffect B.V. may change the training location of an open training.
Cancellation of a training by a participant or organisation or rescheduling to another date is free of charge up to one month before the start of the training. Thereafter, between one month before the start of the training and 1 week before the start of the training, 50% of the training fee will be charged. If canceled within 1 week before the start of the training, 90% of the course fee will be charged. In case of an open training, it is always possible for a colleague to attend the training. If the participant does not show up, the full training fee is due.
If, due to circumstances beyond the control of Meereffect B.V., the planned classroom training cannot take place but can be given and followed online, Meereffect B.V. reserves the right to convert the training into an online training.
Meereffect B.V. reserves the right to reschedule a training in case of force majeure (1) or other circumstances beyond the control of Meereffect B.V.

2. Room Conditions

We attach great importance to our room conditions for an in-company training. Upon arrival in the room, the trainer will check whether it meets the guidelines. If it does not meet the guidelines, this will be discussed on site with the contact person. If the training cannot take place definitively, 25% of the quoted amount will be charged.

3. Invoicing and Payment

After registration or return of a signed proposal, an invoice will be sent by Meereffect B.V. within a few days. The full invoice amount must be paid within 14 days after the invoice date and in any case before the start of the training. In case of late payment, the training (place) can be postponed to another date. If your organisation has other payment terms that cannot be deviated from, we charge an additional fee of 300 euros excluding VAT per invoiced training.
o Meereffect B.V. can cancel a registration without giving reasons, after which the invoice amount will be fully refunded.
o All judicial and extrajudicial costs arising from non-payment are for the account of the client/participant. The extrajudicial costs amount to 15% of the outstanding claim.

4. Marketing

After registration, Meereffect B.V. is entitled to use its customers’ logos for marketing purposes. However, this only happens on pages with other customer logos.

5. Liability and Indemnification

Meereffect B.V. is not liable for any direct or indirect damage, including consequential damage, loss of profit or loss of data, resulting from attending the training or using the provided training material. The total liability of Meereffect B.V. is in all cases limited to the amount invoiced for the relevant training. The participant indemnifies Meereffect B.V. against all claims from third parties related to participation in the training.

6. Intellectual Property

All intellectual property rights related to the provided training material, such as presentations, handouts, and video recordings, remain with Meereffect B.V. It is not permitted to reproduce, distribute, or disclose this material without written permission from Meereffect B.V., except for personal use by the participant.
Meereffect reserves the right to make its own recordings or transcripts for internal purposes, such as quality improvement and training analysis. These recordings will not be shared with third parties.

7. Confidentiality

Meereffect B.V. and the participant undertake to maintain confidentiality of all confidential information obtained from each other in the context of a training. Information is considered confidential if it is indicated as such by one of the parties or if it arises from the nature of the information.

8. Complaints Procedure

If a participant or client is not satisfied with the training, they can submit a written complaint to Meereffect B.V. within 14 days after the end of the training. Meereffect B.V. will handle the complaint within 14 days of receipt and provide the complainant with a response. If necessary, an appropriate solution will be offered, such as offering a repeat training or a partial refund.

9. Dispute Resolution

All agreements between Meereffect B.V. and the client/participant are governed by Dutch law. Disputes arising from this agreement will preferably be resolved through mediation. If this does not lead to a solution, the disputes will be submitted to the competent court in the place of business of Meereffect B.V.

10. Acceptance of General and Delivery Terms

By registering or signing a proposal, the participant and (if applicable) the client indicate that they accept these terms. These general and delivery terms govern the legal relationship between the client/participant and Meereffect B.V., unless expressly agreed otherwise in writing.

(1) Force majeure includes all external causes, foreseen or unforeseen, over which Meereffect B.V. has no control and which prevent Meereffect B.V. from fulfilling its obligations. This may include illness of the trainer, pandemics, government measures, technical failures, internet outages, or natural disasters. In case of force majeure, Meereffect B.V. has the right to reschedule the training or convert it to an online format without any obligation to pay compensation.
